Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Lets Ride LLC. By accessing or using the Service, you represent that: (a) you have read and understood these Terms; (b) you are at least 18 years of age, or at least 13 years of age and accessing the Service with verifiable parental consent; and (c) you have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

2. Eligibility

Minimum age for account creation:You must be at least 13 years of age to create a Lets Ride account, consistent with the Children's Online Privacy Protection Act (COPPA). We do not knowingly allow users under 13 to register.

Minimum age for full participation: You must be at least 18 years of age to purchase a subscription, create public events or community rides, or access certain community features. Users aged 13–17 may browse and use limited features of the Service with parental consent.

Geographic restrictions: The Service is intended for users located in countries where it is legally permissible to access and use the Service. You are responsible for compliance with your local laws.

3. Account Registration and Security

To access most features of the Service, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your information to keep it accurate and complete.
• Keep your password confidential and use a strong, unique password.
• Notify us immediately at info@letsrideoffroad.com if you suspect unauthorized access to your account.
• Be responsible for all activity that occurs under your account.
• Not share your account credentials or allow others to access the Service using your credentials.

Lets Ride reserves the right to disable or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where practicable.

4. License to Use the Service

Subject to your compliance with these Terms, Lets Ride grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes.

You may not: (a) copy, modify, or distribute any part of the Service; (b) reverse engineer, disassemble, or decompile any software component; (c) use automated tools (bots, scrapers, crawlers) to access the Service without our express written permission; (d) remove or alter any proprietary notices; or (e) use the Service to build a competing product or service.

5. User-Generated Content

The Service allows you to post, upload, and share content including text, photos, videos, GPS routes, event listings, and other materials (“User Content”).

5.1 Ownership

You retain ownership of your User Content. By submitting User Content to the Service, you grant Lets Ride a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and promoting the Service. This license ends when you delete the content or your account, subject to reasonable propagation delays and backup retention periods.

5.2 Representations

By posting User Content, you represent and warrant that: (a) you own or have the necessary rights to post the content; (b) the content does not infringe any third-party intellectual property rights, privacy rights, or other legal rights; and (c) the content complies with these Terms and all applicable laws.

5.3 Content Standards

User Content must not:

• Be false, misleading, or deceptive.
• Be defamatory, obscene, pornographic, offensive, or hateful.
• Harass, bully, intimidate, or threaten any person.
• Promote illegal activity or violence.
• Contain malware, viruses, or other harmful code.
• Spam, advertise, or solicit commercial activity without our permission.
• Violate the privacy or publicity rights of any third party.
• Infringe any intellectual property rights.

Lets Ride reserves the right to remove any User Content that violates these standards and to suspend or terminate the accounts of repeat offenders.

6. Off-Road Activities — Assumption of Risk

Off-road riding, trail driving, and related activities are inherently dangerous. Lets Ride provides a community platform and informational tools — not professional advice or safety guarantees.

• Route and trail information (including hazard ratings, difficulty levels, and GPS data) is user-generated and may be inaccurate, out of date, or incomplete. Always verify conditions independently before attempting any route.
• You assume all risk for any off-road activity you undertake, including bodily injury, death, or property damage.
• Always wear appropriate safety gear, carry emergency supplies, and inform others of your plans before heading out.
• Comply with all applicable laws, regulations, and land-use rules when operating off-road vehicles.
• Lets Ride is not responsible for injuries, accidents, property damage, or legal consequences arising from routes, events, or information found on the Service.

7. Subscriptions and Billing

Lets Ride offers free and paid subscription tiers. Paid subscriptions are processed through Stripe, Inc. By purchasing a subscription, you agree to Stripe's terms and authorize us to charge your payment method on a recurring basis at the selected billing interval (monthly or annual).

• Automatic renewal:Subscriptions automatically renew unless cancelled before the end of the current billing period. You can cancel at any time from Profile → Subscription.
• Cancellation: Cancellations take effect at the end of the current billing period. You retain access to paid features until then. No prorated refunds are provided for partial billing periods except as required by applicable law.
• Price changes:We will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance of the new price.
• Taxes: Prices shown may exclude applicable taxes. You are responsible for all taxes associated with your purchase.
• Failed payments: If a payment fails, we will retry up to 3 times over 7 days. If payment remains outstanding, your account may be downgraded to the free tier.

8. Prohibited Conduct

You agree not to use the Service to:

• Violate any applicable federal, state, local, or international law or regulation.
• Impersonate any person or entity, or falsely state your affiliation.
• Collect or harvest personal information about other users without their consent.
• Circumvent, disable, or interfere with security features of the Service.
• Transmit any advertising or promotional material without prior written consent (spam).
• Engage in any conduct that restricts or inhibits any other user's use or enjoyment of the Service.
• Use the Service in any way that could disable, overburden, damage, or impair the Service or its servers.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.

9. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Lets Ride LLC and its licensors. The Lets Ride name, logo, and related marks are trademarks of Lets Ride LLC and may not be used without our prior written permission.

10. Third-Party Content and Links

The Service may contain links to third-party websites or display content from third parties. Lets Ride does not control, endorse, or assume responsibility for third-party content, products, or services. Your use of third-party services is governed by their own terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LETS RIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LETS RIDE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF LETS RIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LETS RIDE'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO LETS RIDE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent such limitations are not permitted, Lets Ride's liability shall be limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Lets Ride LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, your use of any off-road route or trail information from the Service, or your violation of any third-party rights.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@letsrideoffroad.com and attempt to resolve the dispute informally. We will attempt to respond within 30 days.

14.2 Binding Arbitration

If informal resolution fails, you and Lets Ride agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in a court, except as set forth in Section 14.4.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted in Washington State unless otherwise agreed.

14.3 Class Action Waiver

YOU AND LETS RIDE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS.

14.4 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. You may also bring claims in small claims court if they qualify.

14.5 Time Limitation

You must bring any claim arising out of or related to the Service or these Terms within one (1) year of the date the cause of action accrued, or the claim is permanently barred.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. For disputes not subject to arbitration, you and Lets Ride submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington.

16. Termination

Lets Ride may suspend or terminate your account and access to the Service at any time, with or without cause, with reasonable notice where practicable. Cause includes, without limitation, violation of these Terms, fraudulent activity, or conduct harmful to Lets Ride or other users.

You may terminate your account at any time by deleting it from Profile → Settings → Delete Account. Upon termination, your license to use the Service ceases and we will retain or delete your data as described in our Privacy Policy.

Sections 5.1 (Content License — to the extent of content already shared), 6 (Off-Road Disclaimer), 9 (Intellectual Property), 11–13 (Disclaimers, Liability, Indemnification), 14 (Dispute Resolution), 15 (Governing Law), and this Section 16 survive termination.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will provide at least 30 days' advance notice by email or in-app notification. Continued use of the Service after the effective date of any revision constitutes your acceptance of the revised Terms.

18. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lets Ride regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Lets Ride may assign these Terms without restriction.
• Force majeure: Lets Ride is not liable for any failure to perform due to causes beyond our reasonable control.
• Language: These Terms are written in English. Any translated version is for convenience only; the English version controls in the event of conflict.
